Referral and Affiliate Program Terms

Cutvey LLC runs two ways of introducing people to Cutvey, and this document covers both.

The member referral program is open to every Cutvey customer. You share your link, the person who signs up through it gets a longer trial, and you get free time on your own Workspace when they pay.

The affiliate program is for a small number of people we approve in writing, usually because they publish to an audience of filmmakers and production companies. An affiliate gets the same free time, and a cash commission on the first month of each Workspace they refer.

This document sits under Section 7 of the Terms of Service and is read with them. Where the two disagree about referrals or commissions, this document governs; on everything else the Terms of Service govern. For an affiliate it is also a separate agreement with Cutvey LLC about the Commission.


1. Who this is for, and how you accept

Members. Every Cutvey customer has a referral link in the product, in Settings, then Plan and Billing. You accept this document by sharing that link or by taking a reward under it. You do not need to apply and there is nothing to sign.

Affiliates. You become an affiliate only when you apply to us and we approve you in writing. Our written approval names the payout method, any minimum payout amount and the payout cadence, and it is part of this agreement. Until you have that approval you are a member, not an affiliate, and the affiliate sections below do not apply to you. We may decline an application without giving a reason.

An affiliate uses Cutvey. We approve as affiliates people who use the product themselves, so an affiliate must hold a Workspace of their own, on a paid plan or in a trial, for as long as they are in the program. The free time part of the reward is credited to that Workspace. If the Workspace is cancelled, closed or locked for non payment, participation in the affiliate program ends with it, and Section 8 says what happens to Commissions already earned.


2. Definitions

These words mean the same thing everywhere in this document.

Workspace. A Cutvey account and the people, projects and data inside it, as defined in the Terms of Service.

Referral link. The link we issue to you, carrying your own referral code.

Referral trial. The trial a new Workspace gets when it signs up through a Referral link. It is 30 days. The standard trial, for a Workspace that signs up without a Referral link, is 14 days.

Referral reward. The free time credited to the referrer's own Workspace when a referral is successful. It is 30 days.

Qualifying Payment. The first subscription payment we actually receive from a referred Workspace, after that Workspace's trial has ended.

Commission. The one time cash payment described in Section 4. Only an approved affiliate can earn one.

Affiliate. A person or company we have approved in writing under Section 1.

Day counts. A month, one month and a free month all mean 30 days in this document, for a trial and for a reward alike. Two weeks means 14 days. We use the day count in the product and you should use it too, but where anyone says a month, 30 days is what it means.


3. The member referral program

What the person you refer gets. A Referral trial of 30 days on the plan they choose, instead of the standard 14 days. Nothing else about their trial changes, and no payment method is required to start it.

What you get. A Referral reward of 30 days of free time on your own Workspace, credited when the referred Workspace's first payment clears. If you are paying, your renewal date moves 30 days later. If you are still in a trial, your trial gains 30 days. Every successful referral adds another 30 days. There is no limit on how many you can earn.

When it is credited. After the Qualifying Payment has cleared. That is normally a few days after the referred Workspace's first bill.

Beta and preview invitations. A person who joins Cutvey during a beta or preview period through a Referral link is an ordinary referral under this document: the same 30 day Referral trial, the same Referral reward when they pay, and nothing else.

Free time, never cash. A member reward is free time on a Cutvey plan. It is never paid as cash, it is never a refund of anything you have paid, it has no cash value, and it cannot be transferred, sold or exchanged. If you cancel, any free time you have not used goes with the Workspace.

Cash commissions are an affiliate thing only. No part of the member program pays money. If you want to be paid a commission, apply to be an affiliate.


4. The affiliate program and the commission

An approved affiliate gets both halves of the reward for each successful paid referral:

  1. the same Referral reward of 30 days of free time, credited to the affiliate's own Workspace; and
  2. a one time cash Commission.

How the Commission is calculated. The Commission is 50% of one month's subscription fee for the plan the referred Workspace paid for, measured at that plan's monthly price on our pricing page on the day the payment was made. It is calculated before tax. It excludes add ons, extra storage blocks, AI packs, one time purchases, native app purchases and anything else that is not the plan's monthly subscription fee.

The plan they pay for, not the plan they tried. The Commission follows the plan the referred Workspace actually pays for with its Qualifying Payment. A Workspace that trials Studio and then buys Solo produces a Solo Commission. What the Workspace does after that first payment, up or down, does not change the Commission.

An annual payment does not change the number. If the referred Workspace pays for a year up front, the Commission is still 50% of that plan's monthly price. It is never 50% of the annual payment.

Three worked examples, using today's published monthly prices of $49 for Solo, $99 for Team and $199 for Studio:

One Commission per referred Workspace, once, ever. A Workspace can produce one Commission in its lifetime. Upgrades, downgrades, renewals, a second subscription after a cancellation, and additional seats or storage do not earn another one. If two affiliates both claim the same Workspace, the referral code recorded at signup decides it.

No commission on your own money. A Workspace you own or control is not a referral, and neither is a Workspace opened for you by someone else at your direction.


5. When a Commission is earned, paid, withheld or reversed

Earned. A Commission is earned only when a Qualifying Payment is actually received from the referred Workspace, after that Workspace's trial has ended. A signup, a trial, a card on file and an unpaid invoice earn nothing.

Not earned. If the referred Workspace cancels before it pays, nothing is earned. If the payment fails, nothing is earned.

Payable after 30 days. A Commission becomes payable 30 days after the Qualifying Payment clears, if there has been no refund, reversal or chargeback in that time. If any part of the payment is refunded, reversed or charged back inside those 30 days, the Commission is not payable.

Reversal after payout. If a refund, reversal or chargeback happens after we have paid you, we may set the amount off against future Commissions, or ask you to return it. We will tell you which, and why.

How we pay. In cash, by the method we state in writing when we approve you. We may set a minimum payout amount and a payout cadence, and we state both in the approval. Amounts below the minimum roll forward to the next payout.

Withholding. We may withhold or reverse any Commission for a referral we reasonably believe is not genuine, including a referral of yourself, of a Workspace you control, or of an account that does not stay on a paid plan. We tell you when we do, and why, and you can ask us to look again.

Currency and costs. Commissions are calculated and paid in United States dollars. Any fee your own bank or payment provider charges to receive the money is yours.


6. Your obligations

These apply to affiliates. Where a member promotes their link publicly rather than sending it to people they know, they apply to that member too.

Disclose the connection, every time and everywhere. Say clearly, in the same place as the recommendation, that you earn money or free time if someone signs up. That is what the Federal Trade Commission's endorsement guides require in the United States (16 CFR Part 255), and the equivalent rule where you live will require something similar, such as the CAP Code in the United Kingdom or the Unfair Commercial Practices Directive in the European Union. A disclosure buried in a profile, a description or a comment is not a disclosure.

Say only what is true. Do not promise results, revenue, savings or outcomes. Do not say a Cutvey app measures, records or guarantees anything beyond what our own product pages say it does. Do not describe a feature we have not shipped as though it exists.

No self referral. Do not refer yourself, a Workspace you own or control, or a Workspace opened at your direction to collect a Commission.

No paid search or social advertising on our names. Do not bid on, or run ads against, Cutvey, Cutvey LLC, any Cutvey product name, or a close variation or misspelling of any of them. Do not use our names in a display URL or a domain.

No unsolicited messages. Do not send bulk or unsolicited email, direct messages, texts or comments to promote your link. You are responsible for complying with the CAN-SPAM Act, Canada's Anti Spam Legislation, and the GDPR and e-privacy rules in the United Kingdom and the European Union.

No coupon or cash back placement. Do not list your link on coupon, deal, voucher, cash back or loyalty sites.

Everything else in the Acceptable Use Policy applies to you as well, including the rules on impersonation and on misrepresenting your affiliation with us.

If you break these rules. We may reject, withhold or reverse any Commission for a referral we reasonably believe is not genuine, and we may end the program, or your participation in it, on notice. If we end your participation, we pay the Commissions you had already earned before we told you, unless we ended it because of fraud.


7. Taxes and your status

You are an independent contractor. This document does not make you an employee, an agent, a partner or a joint venturer of Cutvey LLC, and it does not let you enter into anything on our behalf or speak for us. It is not exclusive, on either side.

You are responsible for your own taxes on anything we pay you. Before we pay you, or at any time afterwards, we may ask you for a Form W-9 or the right form in the W-8 series, and we may hold a payment until we have it. Where the law requires us to withhold or to report a payment, we will.


8. Changes to the program, and ending it

Changes. We may change this program, including the Commission rate, the day counts and the payout terms, on 30 days' notice by email or by notice in the product. Commissions earned before a change takes effect are paid under the rules that applied when they were earned.

Ending it. We may end the program, or your participation in it, on notice. You may stop at any time by not sharing your link, and your participation as an affiliate ends when your Workspace does. When participation ends we pay the Commissions already earned, subject to Section 5, and any free time already credited stays credited.

Where to find the current version. The current version is always at https://cutvey.com/legal/affiliates, with an effective date at the top. When this document changes, the version it replaces will be kept at https://cutvey.com/legal/archive.


9. Disputes and law

The governing law, the dispute process and the limits on our liability are the ones in the Terms of Service. Section 29 of the Terms of Service is the disclaimers and liability section, Section 30 is the dispute process, and Section 31 is the governing law. They apply to this document in the same way they apply to the rest of your relationship with us, and nothing here adds to or reduces them.
